1. Applicability

These Terms of Service ("Terms") apply to all services provided by MapLeads Media, a trading name of Vision Action Reality ("we", "us", "our"), to any individual or business ("Client", "you") that engages our services. By engaging our services, you agree to be bound by these Terms.

2. Our Services

MapLeads Media provides the following services on a monthly retainer basis:

  • Google Search and Google Maps (Local Services Ads) campaign setup, management, and ongoing optimisation
  • Conversion tracking and call tracking configuration
  • Weekly one-on-one strategy and performance review sessions
  • Monthly performance reports
  • Competitor monitoring within the Client's local area

The exact scope of services is confirmed in a separate service proposal or onboarding document provided to the Client prior to commencement.

3. Eligibility

Our services are available exclusively to service businesses whose average job or booking value is €500 or higher. We reserve the right to decline any application at our sole discretion and without obligation to provide a reason.

We operate on an exclusivity-per-area basis: we will not simultaneously manage Google Ads campaigns for two directly competing businesses in the same geographic area and service category.

4. Agreement Commencement

The agreement between MapLeads Media and the Client commences on the date that both parties have confirmed the engagement in writing (email confirmation is sufficient). The initial billing period begins on that date.

5. Fees and Payment

5.1 Management Fee
Our management fee is a fixed monthly amount as agreed in the service proposal. This fee covers all services listed in Section 2 and is independent of the Client's Google Ads budget.

5.2 Ad Spend
Ad spend (the budget paid directly to Google for advertising) is entirely separate from our management fee. The Client is responsible for funding their own Google Ads account directly. We do not hold or manage Client funds intended for ad spend.

5.3 Invoicing
Invoices are issued monthly, in advance, at the start of each billing period. Payment is due within 14 days of the invoice date.

5.4 Late Payment
In the event of non-payment within 14 days, we reserve the right to suspend active campaign management until the outstanding balance is settled. Continued non-payment after 30 days may result in termination of the agreement.

5.5 Price Adjustments
We reserve the right to adjust our management fee with a minimum of 30 days written notice. The Client may cancel in accordance with Section 7 if they do not accept the adjusted fee.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information about their business, services, and target customers
  • Grant MapLeads Media the necessary access to their Google Ads account (and Google Business Profile, where relevant) to perform the agreed services
  • Maintain an adequate and funded Google Ads account to enable campaign delivery
  • Attend the agreed weekly strategy sessions, or notify us in advance if unable to attend
  • Respond promptly to reasonable requests for information or approval
  • Ensure that all advertised services, offers, and landing pages comply with Google's advertising policies

7. Duration and Cancellation

7.1 Minimum Term
The minimum engagement period is 3 calendar months. Neither party may terminate the agreement during this initial period, except in the case of material breach (see Section 8).

7.2 Cancellation After Minimum Term
After the initial 3-month period, either party may terminate the agreement with 30 days written notice, sent to the email address of the other party. Services and billing continue normally during the notice period.

8. Termination for Cause

Either party may terminate this agreement immediately, without notice, in the event of:

  • Material breach of these Terms that is not remedied within 14 days of written notice
  • Insolvency or bankruptcy of the other party
  • Fraudulent, illegal, or unethical conduct

MapLeads Media may also suspend or terminate the agreement immediately if the Client's campaigns or business practices violate Google's advertising policies or applicable law, in a way that creates risk or liability for MapLeads Media.

9. Intellectual Property

9.1 Our Work
Ad copy, campaign structures, keyword strategies, and other materials created by MapLeads Media in the course of providing services are developed on behalf of the Client. Upon settlement of all outstanding fees, the Client retains ownership of the campaign data within their Google Ads account.

9.2 Methodologies
Our proprietary processes, frameworks, and methodologies remain the intellectual property of MapLeads Media and are not transferred to the Client under any
